1. Agreement to terms
These Terms of Use ("Terms") govern access to and use of the website located at robopoint.pro (the "Website"), operated by RoboPoint Inc., a corporation incorporated under the laws of Canada with a place of business at 51 Breithaupt Street, Suite 110, Kitchener, Ontario N2H 0A9 ("RoboPoint," "we," "us" or "our"). By accessing or using the Website, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, you must not use the Website.
These Terms apply to visitors, prospective clients and other users of the Website. Separate written agreements, including statements of work, master services agreements and purchase orders, govern paid robotics integration and deployment services. If there is a conflict between these Terms and a signed contract for Services, the signed contract prevails for that engagement.
2. Eligibility and acceptable use
The Website is intended for business and professional use. You represent that you have the legal capacity to enter into these Terms and that you will use the Website only for lawful purposes consistent with these Terms and applicable Canadian law, including criminal law, intellectual property law and privacy legislation.
You agree not to: (a) use the Website in any manner that could disable, overburden or impair our infrastructure; (b) attempt unauthorised access to any systems, accounts or networks connected to the Website; (c) scrape, harvest or collect content or personal information through automated means without our prior written consent; (d) transmit malware, spam or harmful code; (e) misrepresent your affiliation with RoboPoint or impersonate any person or entity; (f) use the contact form or email addresses published on the Website to send unsolicited commercial messages unrelated to robotics integration inquiries; or (g) circumvent security measures, including honeypot fields designed to reduce automated abuse.
We may suspend or terminate access, without notice where reasonable, for conduct we believe violates these Terms or poses risk to the Website, our users or third parties.
3. Website content and informational nature
Content on the Website — including text, images, service descriptions, indicative price ranges, project snapshots and FAQ entries — is provided for general information only. It does not constitute engineering advice, safety certification, legal advice or an offer to contract unless explicitly stated in a signed document.
Robotics integration outcomes depend on site-specific factors including equipment selection, environmental conditions, operator training, maintenance practices and regulatory requirements. Indicative CAD price ranges on the Services page are estimates based on typical scope and are not binding quotes. A binding proposal requires a written statement of work signed by both parties.
We strive to keep Website content accurate and current but do not warrant that all information is complete, error-free or up to date at every moment. We may modify or remove content at any time without liability.
4. Intellectual property
Unless otherwise noted, RoboPoint and its licensors own all intellectual property rights in the Website and its content, including text, graphics, logos, layout, photographs, icons and software. The RoboPoint name and branding are protected by applicable trademark and trade-name laws. You receive a limited, non-exclusive, non-transferable licence to access and view the Website for personal or internal business purposes. You may not copy, reproduce, republish, frame, mirror, distribute or create derivative works from Website content for commercial purposes without our prior written consent, except as permitted by fair dealing or other statutory exceptions under Canadian law.
If you submit content to us through the contact form or otherwise — including messages, drawings or specifications — you grant RoboPoint a licence to use that material for the purpose of evaluating and responding to your inquiry or performing contracted Services. You represent that you have the right to provide such material and that it does not infringe third-party rights.
5. Third-party links and tools
The Website may contain links to third-party websites or references to third-party products and services (for example, robot OEMs, sensor vendors or open-source projects). Links are provided for convenience only. RoboPoint does not control and is not responsible for third-party content, privacy practices or availability. Your use of third-party resources is at your own risk and subject to their terms.
6. Privacy and cookies
Our collection and use of personal information through the Website is described in our Privacy Policy, which is designed to align with PIPEDA. Cookie use and consent mechanisms are described in our Cookie Policy. By using the Website you acknowledge those policies. Contact form submissions require affirmative consent via the consent_pipeda checkbox, which is not pre-selected.
7. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. ROBOPOINT DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE OR FREE OF ERRORS, OR THAT DEFECTS WILL BE CORRECTED.
Nothing on the Website replaces professional engineering judgement, formal hazard analysis or statutory safety sign-off required for industrial equipment in your jurisdiction. Always consult qualified personnel before implementing robotics changes on a production floor.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROBOPOINT INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100), EXCEPT WHERE LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW — INCLUDING LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIMITATION IS PROHIBITED.
Some jurisdictions do not allow certain exclusions or limitations; in such cases our liability is limited to the fullest extent permitted by law.
9. Indemnity
You agree to defend, indemnify and hold harmless RoboPoint and its personnel from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Website; (c) content you submit that infringes third-party rights; or (d) your violation of applicable law. We reserve the right to assume exclusive defence and control of any matter subject to indemnification, at your expense, and you agree to cooperate with our defence.
10. Governing law and dispute resolution
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles that would require application of another jurisdiction's laws.
You agree that the courts of the Province of Ontario, sitting in the Region of Waterloo, shall have exclusive jurisdiction to hear and determine any dispute, controversy or claim arising out of or relating to these Terms or the Website, subject to any mandatory consumer protection provisions that cannot be waived in your jurisdiction.
Before initiating formal proceedings, the parties agree to attempt good-faith resolution by written notice to [email protected] describing the dispute and desired remedy, followed by a thirty-day negotiation period.
11. General provisions
Entire agreement for Website use: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement regarding Website use and supersede prior understandings on that subject.
Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Waiver: Failure to enforce any provision is not a waiver of that provision or any other provision.
Assignment: You may not assign your rights or obligations under these Terms without our consent. We may assign our rights and obligations in connection with a merger, acquisition or sale of assets.
Language: These Terms are drafted in English. Any French translation provided is for convenience only; the English version governs to the extent permitted by law.
12. Changes
We may revise these Terms at any time by posting an updated version on the Website with a new effective date. Your continued use after changes become effective constitutes acceptance of the revised Terms for Website use. We encourage you to review this page periodically.
